By accessing the Site, requesting a consultation, or engaging our Services, you (“you,” “Client,” or “your”) agree to be bound by these Terms. If you do not agree, do not use the Site or our Services.

1. Services

We provide customized digital marketing and development services as described on the site or in any proposal, quote, or agreement we send you. Services may include:

  • Search Engine Optimization (SEO)
  • Pay-Per-Click (PPC) / Google Ads management
  • Social media marketing
  • Web development and design
  • eCommerce solutions (Shopify, WooCommerce)
  • Conversion Rate Optimization (CRO)
  • Performance tracking and reporting

All services are provided on a best-effort, results-oriented basis. We do not guarantee specific rankings, traffic volumes, leads, sales, or ROI, as these depend on many external factors (algorithms, competition, market conditions, your content/input, etc.). SEO improvements typically become measurable in 3–6 months.

2. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information, content, access (logins, analytics, hosting), and approvals as needed.
  • Ensure all materials you provide do not infringe third-party rights (copyright, trademarks, etc.).
  • Comply with all applicable laws, including advertising standards and data protection regulations.
  • Do not use our Services for illegal, unethical, or spammy activities.

Delays caused by your non-cooperation may affect timelines, deliverables, and fees.

3. Proposals, Quotes, and Agreements

Any quotation or proposal we provide is valid for 30 days unless otherwise stated. Acceptance (via email, signature, or payment) creates a binding agreement incorporating these Terms. Specific scope, timelines, fees, and deliverables will be outlined in the proposal or in a separate contract.

4. Fees and Payment

  • Fees are as stated in the quote/proposal (monthly retainers, project-based, or one-time).
  • Payments are due as per invoice terms (e.g., 50% upfront for projects, monthly in advance for retainers).

  • Late payments incur [e.g., 1.5% monthly interest or a late fee].
  • All fees are non-refundable except as explicitly stated in a separate agreement. No refunds for partial months or unused services.

5. Intellectual Property

  • You retain ownership of all pre-existing materials you provide.
  • Upon full payment, we grant you a non-exclusive, perpetual license to use deliverables (e.g., website code, designs, strategies) for your business.
  • We retain ownership of our proprietary tools, methodologies, templates, and pre-existing IP.
  • We may showcase your project in our portfolio (anonymized if requested) unless you object in writing.

6. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the engagement and not use it except for providing/receiving services.

7. Termination

  • Either party may terminate with [e.g., 30 days’] written notice (email is sufficient).
  • We may terminate immediately for non-payment, breach, or illegal use.
  • Upon termination, you pay all outstanding fees. We deliver completed work up to the termination date. No refunds for prepaid fees.

8. Limitation of Liability

  • We are not liable for indirect, consequential, incidental, or punitive damages (lost profits, business interruption, etc.).
  • Our total liability shall not exceed the fees paid by you in the 3 months preceding the claim.
  • We provide no warranties beyond those expressly stated; services are “as is.”

9. Indemnification

You agree to indemnify and hold us harmless from claims arising from your content, business practices, or breach of these Terms.

10. Governing Law
